Procedure for Registering LLP in India

Once applicants have decided to form a Limited Liability Partnership they have initially

First step is to apply for DPIN (Designated Partner Identification Number) for every proposed Designated Partners. There should be Minimum two partners of which at least one Designated Partner should have a valid Digital Signature.

Second Step is to apply for Name. Selection of a proper trade name/business name is crucial for the image of an organization. Select few names which reflects the planned business. Ensure selected name satisfy LLP Name Guidelines and trademark requirements and then file an online application.

Third step is filing of LLP Registration Documents. After the approval of name LLP registration documents are filed. On scrutiny of documents filed, Registrar of Companies /Limited Liability Partnerships will register the LLP and certificate of Registration will be issued.

Fourth Step is documentation and filing of LLP agreement and Consent of Designated Partners. Partners of LLP have to execute the LLP agreement within 30 days from the date of Incorporation of LLP and same has to be filed with Registrar of LLP in Form 3 and the consent to act as Designated Partner/Partner has to be filed in Form 4.
